InStop presents standard plan terms in the form of a set of instructions for employees who use the program. This approach permits the Company to administer multiple plans consistently. The Company is able to tailor the instructions to fit any desired brokerage arrangements and match its equity compensation plans.

InStop contemplates sales of shares owned outright, as well as shares acquired upon exercise of Company stock options. InStop is made available to employees on the Company Intranet. It uses a Microsoft Access data base and is coordinated with the Company's e-mail system. InStop can be modified to suit the needs of a particular Company and may require changes to meet the legal requirements applicable in particular settings.
